[vlc] Can't use vlc player / error message

this pops up everytime I try to load vlc player.

the system dll user32.dll was relocated in memory. the application will not
run properly. the relocation occured because the dll
c:\windows\system32\shell32.dll occupied an adress range reserved for
windows system dlls. the vendor supplying the dlls should be contacted for a
new dll.

I have updated the computer. uninstalled and reinstalled vlc. and it still
happens. I even downloaded an update microsoft said would fix this. what
should I do?

running xp sp2
vlc player 0.9.8a

gateway laptop
1.5 ghz celeron
960mb ram
legacy audio drivers
realtek ac97 audio
