my video card supports some kind of hardware acceleration
copied from xing mpeg player diagnostics:

The XingMPEG Driver is currently using Video Acceleration and has detected your Windows display driver's Video Acceleration support:

Surface Type:	Direct Draw Overlay

Stretch Capable:	Yes

Color Space:	UYVY

that's YUV overlays right? or is it some other form
of acceleration?

I don't really know why, maybe you could try to change the depth of your display to 16bits (65536 colours) instead of 24bits (because I'm not sure vlc does YUV->RGB software conversion for 24bits depths).

changing the display depth did the trick! :)
i changed my display to use 16 bits depth, and i made
sure vlc was playing in 16 bits depth, and it worked.
my card doesn't support 32 bits depth and vlc doesn't
seem to support 24 bits depth... doesn't look like the
option is there... so... 16 bits depth was the only
config that worked.
the display is very choppy though... i think i'm getting
less than 10fps with vlc... most likely cause hardware
acceleration didn't work... sigh.
